2006-7 MidAtlantic Scholastic Sailing Association Annual Meeting Minutes

January 27, 2007

The meeting was held by conference call, 1/27/07 8am. Board of Directors Present: Bill Schneider (Director), Jason Evans (NW league), Randy Stokes (Southern league), Stovy Brown (Central league), Mike Spark (representing NE league), and Geoff Schneider (Assistant Director). George Linzee (NE league) had computer problems but in a followup immediately after the meeting, he concurred with the actions taken by the board.

1. Old Business
Membership update: Fees have been received from the following schools: Key School, Leonardtown High, Patuxent High, Bishop Denis J.O.'Connell High, Annapolis High, Severna Park High, and St Marys High. Leonardtown has paid their dues but didn't fill out the ISSA database application for reregistration yet.

2.  Voting on By-Law Amendments as developed by the MASSA Board of Directors to better reflect the new league structure.
Accepted by unanimous vote. Bill Schneider will integrate the amendments into the by-laws and Bill or Geoff will post the final version on the website.

3.  Nominations and Election for open board member positions.
Mike Spark and Geoff Schneider were nominated to continue their membership on the MASSA Board of Directors. Their membership was confirmed by unanimous vote.

4.  Voting for a nomination to the ISSA Board of Directors for a MASSA Director.
Bill Schneider was nominated and confirmed by unanimous vote to be the District's nomination to ISSA for district director.

5.  New Business.
a. MASSA board of directors membership: There was some discussion on how to best accommodate the participating board members to allow for adequate voting quorums at meetings. The following motion was unanimously passed: The bylaws are amended as follows: The Board of Directors shall consist of the League Directors, the MASSA Directors, and the at-large members as selected by a majority of the League Directors. Not withstanding any language in the bylaws to the contrary, this amendment will supercede the bylaws.
Additional people that provide support to the MASSA BOD, will be assigned an honorary position as "Friends of the Board". In particular, Andrew Cole will be given this position - he is currently a legal advisor to the ISSA Board of Director and is also a Sailing Judge
. b.  Spring 2007 Schedule:  Some changes were proposed: Mike Spark will be checking with Tom's River to see if they can host the Mallory qualifier - fleet racing district championship event on April 21 [22]. This date had originally been reserved for the MASSA preliminary qualifier(s) for the MASSA Baker-qualifier Team Racing Regatta. If we can run the district fleet racing event on the weekend of April 21, then the BOD was in agreement that we could ask Navy to run a district team racing qualifier event on April 14 [15] to allow as many teams as possible to qualify for the final District team racing championship on April 28 [29] at ODU.
